Eagleox Drift
Terms for Eagleox Drift
This is an English translation for convenience. If the Danish and English versions differ, the Danish version applies.
1. The parties
These terms apply to agreements on Eagleox Drift between Eagleox Technologies ApS, CVR 40310371, Platanvej 32, 3600 Frederikssund, Denmark ("we") and the customer ("you"). The terms apply to business customers only.
2. The service
Every package includes hosting, domain, SSL certificate, updates, daily backups, monitoring, basic GDPR (cookie banner, privacy policy, record of processing and data processing agreements for the website) and pay transparency setup through our tool. The packages differ only in the number of included hours and review meetings, as described on the pricing page.
3. Hours
- Included hours apply per agreement year and reset on renewal. Up to 10% of the year's hours can roll over once to the following year.
- Upkeep and maintenance never use the included hours. Updating pay transparency when the rules change does use hours.
- Time is logged in 15-minute blocks, and you get an overview of hours used each month.
- Hours beyond the package are invoiced at 750 DKK ex. VAT per hour. We tell you before a task uses hours beyond the package.
4. Add-ons and new websites
Add-ons (accessibility and integrations) are agreed separately and run with the same term and notice as the package. A new website, fixes from an accessibility scan and new integrations are done at a fixed price agreed in writing before we start.
5. Price and payment
- All prices are ex. VAT.
- The fixed monthly price is invoiced monthly in advance. Extra hours are invoiced monthly in arrears.
- Payment is due within 8 days. For late payment we may charge interest under the Danish Interest Act and, after written notice, pause the service.
- We may adjust prices once a year with 3 months' written notice.
6. Term and termination
The agreement runs for 12 months from the start. After that it continues until terminated with 3 months' notice to the end of a month. On termination we hand over your website, data and logins within 30 days after the end, so you can move to another supplier.
7. Your responsibilities
- You are responsible for the content of your website, and for holding the rights to texts, images and logos.
- You make sure the information you give us (for example for pay transparency) is correct.
8. Ownership
Once an invoice is paid, you own the website, the content and the domain. The domain is registered in your name. We keep the rights to our own tools and templates, but you may freely use what we have made for you.
9. Compliance is help, not legal advice
GDPR setup, accessibility and our pay transparency tool help you meet the basic requirements. They are not legal advice, and you remain responsible for your company complying with the rules.
10. Liability
We are only liable for direct loss caused by errors on our part. Our total liability is limited to the amount you have paid for the service in the last 12 months. We are not liable for indirect loss such as loss of business, lost profit or lost data, nor for downtime at third parties such as hosting or payment providers.
11. Personal data
When we process personal data on your behalf, we do so under a separate data processing agreement. Read more in our privacy policy.
12. Force majeure
Neither party is liable for events outside their control, such as power failure, major outages at subcontractors, cyber attacks, war or natural disasters.
13. Governing law and disputes
The agreement is governed by Danish law. Disagreements are first sought resolved by negotiation. If that fails, the case is decided by the District Court of Hillerød (Retten i Hillerød).
